Where should a Thai-resident solo SaaS founder incorporate?

Depends on customer geography. US-focused SaaS often lands on a Delaware or Wyoming LLC. EU-focused SaaS may benefit from a tax-treaty-friendly EU entity that the founder controls remotely. Does Thailand tax dividends or salary from my foreign SaaS company?

Both are foreign-source income under the territorial principle. Thai PIT applies only to amounts remitted into Thailand in the same calendar year. Dividends or salary held in the company or in a non-Thai personal account, not remitted same-year, sit outside the Thai net.

Can I hire a co-founder or first engineer locally in Thailand?

Yes, either as a Thai employee (requires a Thai operating entity and work permit sponsorship structure) or as a Thai-resident contractor on a service agreement. Most early-stage solo SaaS founders use the contractor route for simplicity. Senior Thai engineering cost runs roughly 50–60% of EU rates for equivalent skill.

Can the Thailand DTV cover a SaaS founder during a future acquisition?

Yes, but the acquisition itself may trigger residency questions in the buyer's jurisdiction and require pre-deal restructuring. The DTV does not change. The tax-residency certificate from Thailand becomes the key document in negotiating capital-gains treatment of the founder's equity. Talk to a deal-side tax adviser at term-sheet stage.

Is Thailand suitable for a solo founder building remote SaaS infrastructure?

Yes. Gigabit fibre is widely available in Bangkok and Chiang Mai. AWS, GCP and Cloudflare run low-latency edge points in Singapore and Bangkok. Daytime coffee shops and coworking are abundant. The infra friction for a remote-built SaaS is structurally lower than in much of the EU.
